Waitlist Terms of Service

1. Acceptance of Terms

By entering your email address into the waitlist form, checking any consent box presented alongside it, or otherwise submitting your information through the Site, you confirm that you have read, understood, and agree to be bound by these Terms. We may update these Terms from time to time as described in Section 7; continuing to remain on the waitlist after an update means you accept the revised Terms.

2. Joining the Waitlist Is Not a Guarantee of a Product

Joining the waitlist reserves you a place in line to hear from us first. It does not reserve you a product, a specific size or color, a discount, or a guaranteed launch date. Cella Body is a pre-launch brand still finalizing its first collection, and we cannot promise that any given waitlist member will be able to purchase a product, that a product will be available in a particular quantity, or that the brand will launch on any particular timeline. We may, at our discretion, limit availability, offer early access on a rolling or randomized basis, or discontinue the waitlist or a planned product entirely.

3. Marketing Communications Consent

By joining the waitlist, you agree to receive marketing emails from Cella Body about new drops, product updates, restocks, and related brand news. Every marketing email we send will include a clear, working way to unsubscribe, and we will honor an unsubscribe request within 10 business days, consistent with the federal CAN-SPAM Act. You may withdraw your consent at any time by clicking "unsubscribe" in any email or by contacting us directly at the email address in Section 13. Opting out of marketing emails does not remove you from any order-related or account-related communications you separately request in the future.

4. Eligibility

The waitlist is intended for individuals who are at least 18 years old. By joining, you represent that you meet this age requirement. If we learn that someone under 18 has joined the waitlist, we will remove their information as described in the Privacy Policy below.

5. No Cost, No Obligation

Joining the waitlist is free and creates no purchase obligation. We will never ask for payment information as part of the waitlist signup.

6. Accuracy of Your Information

You agree to provide an email address (and any other information we request) that is accurate and belongs to you. We are not responsible for failing to reach you, or for reaching the wrong person, because of information you entered incorrectly.

7. Changes to the Waitlist or These Terms

We may change, suspend, or end the waitlist, and may update these Terms, at any time and without prior notice, by posting the revised version on the Site with a new effective date. Material changes will be reflected in an updated effective date at the top of this document.

8. Intellectual Property

All content on the Site, including the Cella Body name, logo, product designs, photography, and video, is owned by Cella Body LLC or its licensors and is protected by intellectual property law. Joining the waitlist does not give you any license to use our content, name, or branding.

9. Disclaimer of Warranties

The Site and the waitlist are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, Cella Body LLC and its founder, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Site or the waitlist, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability to you for any claim arising from the Site or the waitlist will not exceed fifty U.S. dollars ($50).

11. Indemnification

You agree to indemnify and hold harmless Cella Body LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the waitlist will be brought exclusively in the state or federal courts located in New York State, and you consent to personal jurisdiction there.
